08 Governing Law and Disputes

  • Binding arbitration. Disputes will be resolved by binding individual arbitration administered by the American Arbitration Association in Albuquerque, New Mexico, or remotely where permitted.

  • Jury trial waiver. Both parties waive the right to a jury trial where permitted by law.
  • Fallback courts. If arbitration is unenforceable, disputes will be handled in state or federal courts located in Bernalillo County, New Mexico.
  • Time limit. Claims must be filed within one (1) year after they arise.

09 General

  • Entire agreement. These Terms together with the Privacy Policy form the complete agreement regarding the Website.
  • Severability. Invalid provisions will be modified or removed while remaining provisions continue in effect.
  • No waiver. Failure to enforce a right does not waive that right.
  • Assignment. TerraTrance may assign these Terms in connection with corporate transactions.
  • No third-party beneficiaries. These Terms benefit only TerraTrance and you.
  • Force majeure. TerraTrance is not responsible for failures caused by events beyond reasonable control.

  • Survival. Content, Intellectual Property, Liability, Governing Law, and General provisions survive termination.
